6 rules
  • Electronic signatures are valid across the UK for most documents.
  • Companies House filings are signed with the company's 6-character authentication code.
  • In England, Wales and Northern Ireland, a company deed can be e-signed by two directors, or a director and the secretary, with no witness.
  • In England, Wales and Northern Ireland, a deed signed by an individual needs wet ink and a witness who is physically present.
  • Directors sign accounts, solvency statements and strike-off applications themselves.
  • A declaration of solvency, used to start a members' voluntary liquidation, is made in person before an authorised person.

Identity checks

6 rules
  • Companies House requires every individual director, LLP member and person with significant control to verify their identity.
  • Entiva runs that check and its own anti-money-laundering check in one flow: chip read of the ID, face match, address history, email.
  • Companies House then emails the person an 11-character personal code, which Entiva attaches to filings.
  • An appointment is not registered without the code.
  • Sanctions screening is continuous, and full checks are refreshed every 12, 24 or 36 months by risk.
  • Records are kept for at least 5 years after the relationship ends.
