Statute
Partnership Act 1996, Part VI; LPA 2017 Schedule

What the law requires.

3 rules, each in plain words.

Re-registration is filed only by the existing registered agent

Paragraph 4(3) of the Schedule allows no one else to file it.

A written partnership agreement that meets section 7 is needed

It replaces the memorandum and articles of the 1996 Act (para 2).

All fees and penalties under the Partnership Act must be paid

The Registrar may refuse re-registration if any are unpaid (para 5(2)).

How Entiva forms it.

1 step. Entiva prepares and files each one, and collects every signature the law needs.

The steps

1 step
  1. 1

  • Registered agent's consent to act
  • Partnership agreement that meets section 7
  • Certificate of re-registration

Who takes part

3
  • Every general partner, with source of funds and wealth
  • Each limited partner of 10% or more of capital, profits or votes
  • Each owner or controller of 10% or more, with source of funds and wealth

How it closes.

2 routes. The right one depends on whether it can pay its debts, and who starts it.

Re-registration under the Limited Partnership Act 2017

For a partnership that chooses to re-register.

  1. 1

General partners sign; the existing registered agent files

  2. 2

Adopt a written partnership agreement that meets section 7

  3. 3

The partnership then follows the limited partnership rules

Automatic re-registration

If the partnership is not re-registered before the transition period ends.

  1. 1

It is re-registered the next day, without legal personality

  2. 2

It must then adopt a written agreement that meets section 7
