Know what each country needs on the ground.

These are the local rules for the standard company in each country, from who must live there to where the office sits.

Hong Kong

  • A company secretary based in Hong Kong

The secretary is an individual ordinarily resident in Hong Kong, or a body corporate with its registered office or place of business there.

  • A designated representative for the controllers register

The register of people who control the company needs a designated representative, such as a Hong Kong-resident member, director or employee, or an accounting or legal professional.

Singapore

  • At least one director who lives in Singapore

The registry, ACRA, counts citizens, permanent residents and holders of an Employment Pass, Personalised Employment Pass or ONE Pass as resident.

  • A company secretary who lives in Singapore

The secretary is appointed within 6 months of incorporation, and a sole director cannot also be the secretary.

United Kingdom

  • No UK-resident director is needed

The Companies Act does not require any director to be resident in the UK.

  • An appropriate registered office address

Since 4 March 2024 it must be an appropriate address, not a PO box, in the part of the UK where the company is registered.

Cayman Islands

  • No resident director or secretary is needed

The Companies Act requires no resident director, no resident shareholder and no company secretary.

  • A registered office in the Islands

Required by Companies Act s.50(2), and in practice every Registry filing goes through it on the CAP portal.

British Virgin Islands

  • A registered agent at all times

The company also needs a registered office at a physical BVI address (BVI Business Companies Act ss.90 and 91).

  • No residency rule for directors or members

The BVI Business Companies Act sets no residency or nationality requirement for directors or members.

United States

  • A registered agent with an office in the state

The registered agent needs a physical office in the state, generally open in business hours.

  • Qualify in every other state where it does business

The corporation must register in each other state where it transacts business, which the law calls foreign qualification.

Know what the registry expects every year.

Know which accounts and tax returns fall due.

  • Audited accounts and profits tax return

Audited accounts go to the Inland Revenue Department with the profits tax return, due by the date stated on the return.

  • Employer's return (BIR56A)

Due within 1 month of issue, usually early April, even if the company has no employees.

  • Business registration renewal

Paid by the date on the Inland Revenue Department's demand note, for a 1-year or 3-year certificate.

Singapore

  • Foreign bank account report (FBAR)

Due 15 April, with an automatic extension to 15 October, when foreign accounts total over US$10,000.

Know what you sign and how.

Electronic signatures are accepted for most company documents, and this is where each country asks for more.

Hong Kong

One founder member signs the incorporation form

The founder member signs form NNC1 personally, using their own password, digital certificate or iAM Smart.

Share transfers are signed on paper

They are charged to stamp duty, which puts them outside the Electronic Transactions Ordinance.

Singapore

Each director signs Form 45 personally

Form 45 is the consent to act as director, and nobody else can sign it for them.

Officers need no Singpass endorsement

Entiva files every ACRA transaction, so directors and the secretary do not endorse filings with Singpass.

United Kingdom

Every new director verifies their identity

Since 18 November 2025 each new director must verify their identity and give Companies House their personal code.

A power of attorney needs a witness present

In England and Wales and in Northern Ireland, an individual signs a power of attorney as a deed, with a witness who is physically present.

Cayman Islands

Entiva signs as initial subscriber

Entiva normally signs the memorandum and articles as initial subscriber, with a Cayman witness, so the customer signs nothing at incorporation.

An individual's power of attorney needs a witness

It is signed as a deed in front of a witness who is physically present.

British Virgin Islands

Each director consents in writing

The consent to act is personal to the director and can be given electronically.

Share transfers are signed on paper

The Electronic Transactions Act excludes transfers of personal property, which includes BVI shares.

United States

Every director consents to board action

A board acts without a meeting only if all directors consent in writing or electronically (Delaware General Corporation Law s.141(f)).

The S corporation election is signed on paper

An authorised officer signs Form 2553 and every shareholder consents.

Let Entiva run it from formation to closure.

Entiva forms the company in each country and closes it when you decide to stop.

Hong Kong

  • Entiva incorporates and acts as secretary

Entiva files form NNC1 with the business registration notice and, by default, acts as company secretary and registered office.

  • Deregister a solvent company that has stopped trading

Entiva obtains the Inland Revenue Department's notice of no objection and delivers form NDR1 within 3 months.

Singapore

  • Entiva incorporates through Bizfile

Entiva files through ACRA's Bizfile portal and lodges controller and nominee information with ACRA on the incorporation date.

  • Strike off a company that has stopped trading

Entiva applies on Bizfile when the company has no debts, assets or charges, and all or a majority of directors agree.

United Kingdom

  • Entiva verifies directors and incorporates

Entiva collects each director's Companies House personal code and each subscriber's authentication, then files the incorporation.

  • Strike off a dormant, solvent company

Entiva prepares form DS01, collects the directors' authentication, files it and follows the two Gazette notices to dissolution.

Cayman Islands

  • Entiva incorporates and is the registered office

Entiva files the memorandum, articles and section 165 declaration on CAP, and acts as the registered office.

  • Strike off a company with no assets or liabilities

Entiva files the request on CAP before the Registry cut-off, and the company is dissolved on the next quarterly strike date.

British Virgin Islands

  • Entiva incorporates as registered agent

The Registry accepts filings only from the registered agent, so Entiva files everything for the company (BVI Business Companies Act s.232).

  • Liquidate a solvent company

Entiva files the notice of appointment with the declaration of solvency within 14 days of the resolution, or the appointment is void.

United States

  • Entiva files the incorporation in any state

Entiva files the certificate or articles of incorporation, naming the registered agent and the first directors and officers.

  • Dissolve a corporation and tell the IRS

Entiva files the certificate of dissolution after approval, then IRS Form 966 within 30 days of the plan being adopted.
