Every country sets its own yearly filing calendar.

Entiva handles each of these before it is due. They are the recurring registry filings for a standard company, with the rule that sets each deadline.

Hong Kong

  • Annual return (NAR1)

Due within 42 days after each incorporation anniversary. A private company attaches no accounts.

  • Business registration renewal

Paying the Inland Revenue Department's demand note by its due date renews the certificate for 1 or 3 years.

Singapore

  • Annual return

Filed with the Accounting and Corporate Regulatory Authority (ACRA) within 7 months after the year end, with the financial statements. The fee is S$60.

United Kingdom

  • Confirmation statement (CS01)

Filed at Companies House within 14 days after each 12-month review period. It confirms the register is correct and every director has verified their identity.

  • Annual accounts

Filed at Companies House 9 months after the accounting reference date, once the board has approved the accounts and a director has signed them.

Cayman Islands

  • Annual return and fee

Due every January after the year of registration. Filing by 31 January keeps the company in good standing.

British Virgin Islands

  • Annual Registry fee

Due on 31 May for companies incorporated from January to June, and on 30 November for those incorporated from July to December.

  • Annual financial return

A balance sheet and income statement go to the registered agent within 9 months after each year end. They are not filed with the Registry or made public.

Delaware

  • Corporate annual report and franchise tax

A Delaware corporation files the annual franchise tax report and pays the franchise tax on 1 March, for the previous calendar year.

  • Annual tax for LLCs and partnerships

LLCs, limited partnerships and general partnerships pay the annual tax on 1 June, and no annual report is filed.

Wyoming

  • Annual report

Due on the first day of the anniversary month, with the licence tax paid at the same time.

Nevada

  • Annual list and state business licence

The annual list of officers, directors or managers and the licence renewal are due on the last day of the anniversary month.

Every entity, every layer, one workflow.

Changes run across the whole group at once.

Registers and ownership records stay current in every country.

Each country keeps different registers and asks for ownership details on a different clock, and Entiva tracks each one.

Hong Kong

  • Significant controllers register

Records who significantly controls the company. The company keeps it in Hong Kong, never files it, and sends Form NR2 within 15 days if its location changes.

Singapore

  • Yearly controller confirmations

Every registrable controller is asked each year to confirm their details and has 30 days to reply, even if nothing has changed.

  • Controller register updates

A change enters the private register within 7 calendar days of the controller's confirmation, then ACRA's central register within 2 business days.

United Kingdom

  • Registers held by Companies House

Since 18 November 2025 Companies House holds the registers of directors, secretaries and people with significant control. The company keeps its register of members.

  • Personal codes for controllers

A new person with significant control (PSC) gives their Companies House personal code when added or within 14 days.

Cayman Islands

  • Beneficial ownership register

Deposited on the General Registry's CAP portal at least monthly, or every 90 days in liquidation. An ordinary resident company deposits every 365 days.

British Virgin Islands

  • Beneficial ownership

Filed within 30 days of incorporation, and each change within 30 days of the company becoming aware of it. Full particulars cost US$125.

  • Register of directors

Filed with the Registrar within 15 days of the first directors' appointment, and each change within 30 days.

  • Register of members

Filed with the Registrar within 30 days of incorporation and of each change. It is not public unless the company opts in.

  • Certificate of good standing

The Registrar issues it only if fees and penalties are paid, registers and beneficial ownership are filed or not yet due, and no annual return default is reported.

United States

  • FinCEN beneficial ownership report

A foreign-formed entity registered in a US state reports within 30 days of registration. US-formed entities are exempt.

New York

  • LLC Transparency Act disclosure

An LLC formed outside the US and authorised in New York files its beneficial ownership disclosure with the Department of State. US-formed LLCs file nothing.

Each change is approved and signed by the right people.

The approvers differ by country and by action, so Entiva resolves who must approve before anything is signed or filed.

In every country

Approvals follow the law, then the articles, then agreements

Entiva resolves each approval from the law, then stricter rules in the articles, then reserved matters in shareholders' agreements.

A reserved matter blocks an action until it is given

A consent that a shareholders' agreement reserves blocks the action until it is given, or until an owner waives it on the record.

Only a person with authority can start an action

An action starts only for a person whose recorded authority over the entity covers that type of action.

Approvers verify their identity first

A team member with the approver role verifies their identity before their first approval, because approvers sign.

Hong Kong

Appointing a director

Members pass an ordinary resolution (more than 50% of votes), or the directors decide as the articles provide. Form ND2A follows within 15 days.

Share transfers are signed on paper

Entiva prepares the instrument of transfer for signing on paper, stamps it through the Inland Revenue Department's e-Stamping service and updates the register of members.

Singapore

Appointing a director

All directors sign in writing, a majority decides at a meeting, or a sole director signs a record, unless the constitution differs. The new director signs Form 45 personally.

United Kingdom

Appointing a director

The directors decide as the articles provide, or members pass a simple-majority resolution. Companies House is told within 14 days.

Cayman Islands

Appointing a director

The board appoints by majority, or members by ordinary resolution unless the articles say otherwise. The Registrar is told within 30 days.

British Virgin Islands

Appointing a director

Members appoint by a resolution of more than 50% of votes unless the memorandum and articles say otherwise. The change is filed within 30 days.

Share transfers are signed on paper

Every instrument of transfer of BVI shares is signed by hand on paper, as are deeds, powers of attorney and declarations of trust.

United States

Electing a director

Stockholders or members elect directors, and the board fills a vacancy. Each director consents personally, and Delaware law makes no provision for directors voting by proxy.

Economic substance and tax filings are tracked entity by entity.

Entiva collects the data for each economic substance report, which covers income, staff, premises and where an entity is managed.

Cayman Islands

  • Economic Substance Notification

Filed every year by 31 January, before the annual return can be filed. There is no fee.

  • Economic Substance Return

Due within 12 months after the financial year end, for an entity that carried on a relevant activity.

  • Tax Resident Outside the Islands form

An entity that is tax resident elsewhere files this form within 12 months after year end, instead of meeting the economic substance test.

  • FATCA and CRS registration

A financial institution registers for CRS and FATCA on the Department for International Tax Cooperation's portal and obtains its financial institution (FI) number.

British Virgin Islands

  • Economic substance declaration

Every BVI company files form T601 on the VIRRGIN registry platform within 6 months after its financial period ends, even with no relevant activity.

  • BVIFARS enrolment

Reporting or not, every BVI financial institution enrols on the BVI Financial Account Reporting System (BVIFARS). The CRS deadline is 30 April of the year after it became one.

  • FATCA and CRS reports

A reporting financial institution files on BVIFARS by 31 May for the previous calendar year. A nil return is mandatory when there are no reportable accounts.

Hong Kong

  • Foreign-sourced income and substance evidence

A multinational group's Hong Kong entity with foreign-sourced income files its evidence with the profits tax return. Hong Kong has no standalone substance filing.

Singapore

  • Corporate income tax return

Form C-S (Lite), C-S or C is due on 30 November each year, even if the company had no income or made losses.

United Kingdom

  • Corporation Tax

The CT600 return is due to HM Revenue & Customs (HMRC) 12 months after the accounting period ends, and payment 9 months and 1 day after it ends.

United States

  • Federal income tax return

A corporation files Form 1120 by the 15th day of the 4th month after year end, which is 15 April for a calendar year.

  • Form 5472 for foreign-owned entities

Form 5472 reports related-party transactions of a 25% foreign-owned corporation. It goes with Form 1120, and the penalty is US$25,000 per failure.

Audit and accounts rules differ in every country.

Some countries require an audit, some publish accounts and some keep them private, so the rule for each entity is stated up front.

Hong Kong

Audited financial statements every year

A private company has its statements audited. They go to the Inland Revenue Department with the profits tax return, not to the Companies Registry.

Approval within 9 months

Directors approve and sign the audited statements within 9 months after the period end, or 6 months for a subsidiary of a public company.

Singapore

Audit unless the company is small

A private company is exempt if it meets 2 of 3 tests: revenue up to S$10m, assets up to S$10m, up to 50 employees. Nothing is applied for at ACRA.

Format of the filed statements

Most companies file full XBRL. A company with revenue and assets both up to S$500,000 that is not publicly accountable files simplified XBRL plus a PDF.

AGM or statements to members

A private company holds its AGM within 6 months after year end, unless it sends its financial statements to members within 5 months instead.

United Kingdom

First accounts

The first accounts are due 21 months after incorporation, or 3 months after the accounting reference date if that is later.

Accounting records

A private company keeps accounting records for at least 3 years under the Companies Act. HMRC requires 6 years.

Audit exemption for a subsidiary

A subsidiary claims audit exemption with form AA06 (its parent's guarantee), written notice that all members agree, and the parent's consolidated accounts.

Cayman Islands

Books of account

A company keeps proper books of account for at least 5 years, and tells its registered office where they are if they are kept outside the Islands.

Regulated funds

A fund registered with the Cayman Islands Monetary Authority (CIMA) files audited accounts and its Fund Annual Return within six months after year end.

British Virgin Islands

No audit or public accounts

A BVI business company has no statutory audit, AGM or public filing of accounts unless it is regulated.

United States

No accounts filed by private companies

Delaware, Wyoming and Nevada have no financial statements filing for private companies. Entiva records the figures that state reports ask for.

Closing or restructuring an entity follows a set path in each country.

Entiva prepares each step, from the board and member approvals to the final registry filing.

Hong Kong

  • Deregister a defunct solvent company

Form NDR1 follows the Inland Revenue Department's Notice of No Objection (IR1263) within 3 months. The Registrar then waits 3 months for objections.

  • Amalgamate wholly-owned group companies

No court is involved. Each company delivers forms NAMA1 to NAMA3 within 15 days of approval.

Singapore

  • Voluntary strike-off

For a company that has ceased trading and has no debts, charges, assets or proceedings. All or a majority of the directors must agree.

  • No outward transfer of registration

Exits use another route, such as a share swap into a foreign holding company.

United Kingdom

  • Voluntary strike-off (DS01)

For a solvent company that has not traded, sold stock or changed name in the previous 3 months. Two Gazette notices lead to dissolution.

  • Members' voluntary liquidation

Directors swear a declaration of solvency in person, and members pass a 75% resolution to wind up and appoint an insolvency practitioner.

Cayman Islands

  • Voluntary strike-off

It dissolves the entity on the next quarterly strike date, but liability continues and the entity can be restored for up to ten years.

  • Continue in another jurisdiction

A director declares that there is no winding up, receiver or creditor scheme and that the entity can pay its debts. The fee is three times the January annual fee.

British Virgin Islands

  • Solvent liquidation

The notice of appointment must be filed within 14 days of the resolution, or the appointment is void.

  • Registrar strike-off

It is not a clean closure: liabilities survive and fees and penalties stay payable. Entiva recommends liquidation for a solvent company.

United States

  • Dissolve a corporation

Taxes and annual reports through the dissolution date are paid first. IRS Form 966 follows within 30 days of adopting the plan to dissolve.

  • An idle entity has no dormant status

Annual reports, franchise or annual taxes and federal returns stay due in Delaware, Wyoming and Nevada until the entity is dissolved.
