How signing and identity checks work.

Entiva collects every signature and identity check the law asks for.

Signing

6 rules
  • Electronic signatures are valid for most corporate documents, including written resolutions and filings.
  • Wet ink is still needed for deeds, powers of attorney, declarations of trust and share transfers.
  • A company deed needs one director's wet-ink signature, with no seal or witness.
  • Directors sign their own consents and resolutions, and can do so electronically.
  • Statutory declarations and affidavits are sworn in person. There is no remote option.
  • Registry filings are signed and submitted by the registered agent.

Identity checks

6 rules
  • Every director, alternate director and reserve director is verified, whatever their shareholding.
  • A beneficial owner owns or controls 10% or more, directly or indirectly, or controls the board or management.
  • Owners and controllers also give source of funds and wealth, and are checked for politically exposed person (PEP) status.
  • Verification is by photo ID plus address evidence, and electronic ID is allowed.
  • The BVI has no registry identity check, so the information is verified before it is filed privately.
  • Higher-risk clients are reviewed at least annually, and all others within 4 years.

Build it with the API.

Every company type and every step on this page is an action in the Entiva API. This is the call that forms a BVI business company limited by shares.

A clear price for every company type.

Each company type has its own formation fee and monthly Run plan, set at the market median. Government fees are passed through at cost.
